Liao Kaizhan is a senior partner at AllBright Law Offices' Fuzhou branch. He graduated from East China University of Politics and Law in 1987 and began practicing law in 1988, having also studied and worked in London for a year at the University of London and a leading London law firm.
He has long focused on corporate practice and corporate finance, with rich commercial awareness and cross-border corporate experience, and has accumulated extensive successful cases and practical experience in the overseas listing of enterprises holding PRC interests. Since 1998 he has focused on Chinese enterprises' overseas listings, having advised more than 30 companies on initial public offerings in Hong Kong, Singapore, the United States, the United Kingdom, Germany, Poland, Malaysia, Taiwan, and Korea — including the first Chinese enterprise listed on the Prime Standard of the Frankfurt Stock Exchange and the first foreign enterprise listed on Bursa Malaysia. He has also provided PRC law advice on numerous major cross-border M&A transactions by overseas companies holding PRC interests in both domestic and international capital markets. Representative matters include advising Fujian Electronics & Information Group on the Zhaoyuan Optoelectronics strategic investment by TCL China Star, and advising Shangyi Global Holdings on its successful listing on the Taiwan Stock Exchange.
He is also well-versed in foreign investment practice, with extensive practical experience in the establishment of foreign-invested enterprises, tax planning, equity transfer, and liquidation. He is fluent in English, able to read and draft legal documents and conduct negotiations in English, which facilitates communication with overseas clients and professional institutions.
He previously practiced at Fujian Foreign Economic Law Office (1987–1995), Fujian Junli Law Firm (1996–1997), and Fujian Zhili Law Firm (1998–2000), and served as director of Fujian Chuangyuan Law Firm (2000–2016) before joining AllBright's Fuzhou branch in 2016. He is a vice president of the Fuzhou Bar Association and a member of the 12th Fujian Provincial Committee of the Chinese People's Political Consultative Conference. His honors include being named an Outstanding Lawyer of Fujian Province and a recommended lawyer in Corporate/Commercial: Fujian in the Chambers Greater China Region Guide from 2023 to 2026.
